1. Acceptance of Terms

By accessing or using GroundedPay ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all merchants, customers, and visitors who access or use the Service.

2. Description of Service

GroundedPay is a non-custodial cryptocurrency payment gateway that enables merchants to accept crypto payments. Key aspects of the Service include:

• GroundedPay does not hold, custody, or control merchant or customer funds at any time.
• Payments are sent directly from the customer's wallet to the merchant's designated wallet address.
• GroundedPay facilitates payment address derivation, transaction monitoring, and status notifications only.

3. Merchant Responsibilities

As a merchant using GroundedPay, you agree to:

• Comply with all applicable local, state, national, and international laws and regulations, including but not limited to tax obligations and consumer protection laws.
• Maintain the security of your wallet private keys and account credentials. GroundedPay is not responsible for compromised wallets or lost credentials.
• Provide accurate business information during registration and keep it up to date.
• Not use the Service for any unlawful purpose or in violation of these Terms.
• Ensure that your use of cryptocurrency payments complies with the laws of your jurisdiction.

4. Wallet Security

Users are solely responsible for the security of their own cryptocurrency wallets, including private keys and seed phrases. GroundedPay does not have access to, nor does it store, your private keys. Loss of wallet access or private keys may result in permanent loss of funds, for which GroundedPay bears no liability.

5. Prohibited Uses

You may not use the Service for:

• Money laundering, terrorist financing, or any form of illicit financial activity.
• Processing payments for illegal goods or services.
• Fraud, deception, or misrepresentation.
• Circumventing sanctions, export controls, or embargoes.
• Any activity that violates applicable anti-money laundering (AML) or know-your-customer (KYC) regulations.
• Activities that could damage, disable, or impair the Service, including denial-of-service attacks.

6. Fees and Payments

GroundedPay charges a platform fee on processed transactions as described on our pricing page. Fee structures, including monthly subscription tiers, may be updated from time to time. Continued use of the Service after a fee change constitutes acceptance of the new fees.

7. Service Availability

The Service is provided on an "as-is" and "as-available" basis. GroundedPay does not guarantee uninterrupted or error-free operation. We may suspend or discontinue the Service, or any part of it, at any time without prior notice. Blockchain network congestion, third-party service outages, and other factors beyond our control may affect transaction processing.

8. Third-Party Services

GroundedPay integrates with third-party services including NOWPayments and Coinbase. Your use of these services is subject to their respective terms and conditions. GroundedPay is not responsible for the availability, accuracy, or performance of third-party services.

9. Limitation of Liability

To the maximum extent permitted by law, GroundedPay and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or funds, arising out of or related to your use of the Service. In no event shall GroundedPay's total liability exceed the amount of fees you paid to GroundedPay in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless GroundedPay and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

GroundedPay may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive, including but not limited to limitation of liability, indemnification, and governing law.

12. Modifications to Terms

GroundedPay reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in the State of Florida.
